Terms of Service

Article 1 (Scope)

These terms govern the use of ProfitBreaker (the "Service") provided by ALPHA MJ TRADING (the "Company"). By using the Service, you agree to these terms.

Article 2 (Account Registration)

Users must register accurate and up-to-date information. Users are responsible for managing their accounts and may not lend or transfer them to third parties. The Company reserves the right to suspend or delete accounts in case of unauthorized use.

Article 3 (Service Description)

The Service provides AI-powered business plan evaluation and analysis (Breaker) and business plan creation support (Forge). AI evaluation results are for reference only and do not guarantee business success or loan approval. The Company may modify, add, or discontinue services without prior notice.

Article 4 (Nature of the Service & User Responsibility)

All output generated by the Forge feature is a "draft" and not a completed document. Users must not use Forge output as a final document without review, and must verify, edit, and finalize the content at their own responsibility. The creator of any document is the user themselves. The Service is merely a tool to assist users in creating their own documents; the Company does not create documents on behalf of users.

Article 5 (Pricing & Payment)

Plan pricing is as displayed on the service pages. Payments are processed through Stripe. Due to the nature of digital services, refunds are generally not available after service delivery begins. In case of system failure preventing proper service delivery, we will re-provide the service or issue a refund.

Article 6 (Prohibited Activities)

Users must not: • Violate laws or public order • Infringe on the rights of other users or third parties • Interfere with service operations • Attempt unauthorized access or system attacks • Send automated bulk requests • Reverse-engineer the Service • Resell evaluation results as their own service Item 1 (Prohibition of paid proxy services for third parties) Using the Service to prepare documents, file applications, or perform similar work on behalf of third parties for compensation. This prohibition does not apply to licensed professionals (e.g., administrative scriveners) who have entered into a B2B agreement with the Company and are performing services lawfully within the scope of their license. Item 2 (Prohibition of unlicensed proxy services) Any person who does not hold a license required under the Administrative Scrivener Act or other applicable laws using the Service to prepare documents related to rights and obligations or official submissions on behalf of third parties, whether for compensation or not.

Article 7 (Disclaimer)

The Company does not guarantee the accuracy, completeness, or usefulness of AI evaluation results or Forge output. The Company is not liable for any damages arising from the use of the Service. The Service is provided "as is." The Company has no active obligation to monitor whether users are violating Items 1 or 2 of the preceding article. However, if the Company becomes aware of a violation, it may suspend or take other measures under Article 10. If a user violates Items 1 or 2 of the preceding article and prepares documents on behalf of a third party, all legal liability for such acts rests solely with that user, and the Company bears no responsibility.

Article 8 (Intellectual Property)

Intellectual property rights related to the Service belong to the Company. AI evaluation report content may be used by users for their own business activities. Intellectual property rights of uploaded business plans belong to the user.

Article 9 (Limitation of Liability)

The Company's liability to any user is limited to the total fees paid by that user in the preceding 12 months. This limitation does not apply in cases of willful misconduct or gross negligence.

Article 10 (Termination)

Users may terminate their use of the Service at any time by deleting their account. The Company reserves the right to suspend or delete accounts that violate these terms without prior notice.

Article 11 (Administrative Scrivener Act)

The Service does not constitute document preparation performed "upon the request of another person for compensation" as defined in Article 19, Paragraph 1 of the Administrative Scrivener Act (Act No. 4 of 1951, as amended in 2024). The Service is an AI tool that supports users in creating their own documents. Users who use the output of this Service to prepare documents on behalf of third parties are solely responsible for complying with the Administrative Scrivener Act and other applicable laws. The Company has no obligation to determine whether a user's activities using the Service violate the Administrative Scrivener Act or other laws, and no obligation to monitor such activities.

Article 12 (Governing Law & Jurisdiction)

These terms are governed by the laws of Japan. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Yokohama District Court.

Article 13 (Changes to Terms)

The Company may modify these terms as necessary. Updated terms take effect upon publication on this page. Users will be notified of significant changes through the Service.
